Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Alyssa Boyd LLC d/b/a Rep Re: Vault (“Rep Re: Vault,” “we,” “us,” or “our”), governing your access to and use of the Rep Re: Vault websites, applications, and related services (the “Service”).

By creating an account, clicking “I agree,” or using the Service, you accept these Terms. If you do not agree, do not use the Service.

Related documents: Privacy Policy · Compliance Guide · Cookie Notice

1. Eligibility and Professional Use

  • You must be at least 18 years old and able to form a binding contract.
  • The Service is intended for professional use by medical device representatives, vendor personnel, and authorized facility staff—not for personal consumer social networking.
  • If you use the Service on behalf of a company or facility, you represent that you have authority to bind that organization to these Terms, and “you” includes that organization.

2. Description of the Service

Rep Re: Vault’s core platform is free: a vendor-credentialing vault that helps Representatives store professional compliance documents and share them with hospitals and facilities they have joined, and helps Facility Admins review those materials according to facility-configured requirements.

We may offer optional paid managed services, including a Managed Review Subscription under which our staff provide administrative assistance reviewing credentials against a facility’s stated requirements. Optional paid features are governed by these Terms and the applicable subscription agreement.

Important limitations:

  • We do not guarantee that any facility will approve your join request or grant you physical or vendor access.
  • The facility remains the sole final decision-maker on vendor access. Any approve / reject / review mark we apply under Managed Review is an administrative assist only—not a final credentialing determination, not a certification of the Representative, and not a substitute for the facility’s own program.
  • We do not warrant that we will catch every wrong name, expired document, mismatch, forgery, or other defect.
  • The Service is software (and, when subscribed, assistive review labor)—not a hospital badge desk, clinical safety system, insurer, or law firm.
  • Facility-uploaded policies are for Representatives to view and attest; we do not certify Representatives.

3. Accounts and Security

  • You must provide accurate registration information and keep it current.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • Notify us promptly at support@reprevault.com if you suspect unauthorized access.
  • We may refuse registration, require re-verification, or reclaim usernames that violate these Terms or law.
  • Do not share accounts in a way that defeats role-based access or auditability (for example, one login used by many people without facility permission).

4. Roles

4.1 Representatives

Representatives may create a vault, upload permitted credential documents, request to join facilities, and manage membership relationships. You are responsible for the accuracy and lawfulness of everything you upload or attest.

4.2 Facility Admins

Facility Admins may configure facility requirements (as supported by the product), review join requests, and view credentials shared by Representatives who have joined that facility. Facility Admins are responsible for managing their facility users and for how their organization uses information obtained through the Service.

We may introduce additional roles later (for example, read-only facility reviewers). Role permissions will be described in the product.

5. Representative Obligations (Uploads and Accuracy)

If you are a Representative, you agree that:

  1. Accuracy. Information and documents you provide are true, complete, and not misleading to the best of your knowledge. You will update or replace expired or inaccurate materials promptly.
  2. No altered documents. You will not upload forged, altered, or fraudulent documents, or documents that have been manipulated to change material facts (dates, names, results, coverage limits, etc.).
  3. Rights to upload. You have all rights and permissions needed to upload and share the materials with joined facilities (including any employer or insurer permissions that apply).
  4. No patient PHI. You will not upload patient protected health information, patient charts, or other identifiable patient data.
  5. Prohibited identity / investigative data. You will not upload Social Security numbers, driver’s license or state ID numbers, or full background-check dossiers into the Service. Those items are outside the designed scope of Rep Re: Vault.
  6. Lawful content. Your uploads will not violate law, third-party rights, or facility agreements that bind you.

We may remove content, suspend access, and—where appropriate—notify affected facilities if we reasonably believe documents are altered, fraudulent, or otherwise violate these Terms.

6. Facility Obligations

If you are a Facility Admin or otherwise act for a facility:

  1. You set and are responsible for your organization’s vendor credentialing requirements and access decisions.
  2. You will use the Service only for legitimate facility vendor-management purposes.
  3. You will not rely solely on Rep Re: Vault as a substitute for clinical judgment, physical security protocols, or legal advice.
  4. You understand that document authenticity and completeness remain the Representative’s responsibility; you should apply your own verification practices as your policies require.
  5. You will manage Facility Admin accounts carefully and revoke access when staff leave.
  6. If your use of the Service requires a HIPAA Business Associate Agreement, contact us to request a BAA. See our Compliance Guide.
  7. Final authority. You remain solely responsible for vendor access decisions. Any review status, approval mark, rejection mark, or similar indicator applied by Rep Re: Vault staff under a Managed Review Subscription is assistive and administrative only. You will not treat it as a warranty, certification, or final clearance.
  8. Facility policies. If you upload policies or acknowledgments for Representatives to view and attest, those materials are yours. Capturing a view or e-signature in the product does not mean we certified the Representative.
  9. Managed Review. If you subscribe to Managed Review, you also agree to the Managed Review Subscription Agreement. In a conflict on Managed Review liability, waiver, and incident process, that agreement controls for that subject matter.

8A. Consent to Operator Viewing, Storage, and Processing

By uploading, submitting, or storing information or documents in the Service, you expressly authorize Alyssa Boyd LLC d/b/a Rep Re: Vault and its authorized personnel to view, store, process, display, transmit, and otherwise handle Your Content solely for:

  • operating credentialing workflows and the free core Service;
  • providing optional Managed Review and other paid managed services when a facility has subscribed; and
  • fraud prevention, quality control, security monitoring, internal audit, Terms enforcement, and legal compliance.

Representatives authorize this handling for their vault contents. Facilities authorize this handling for materials they upload (including facility policies) and for documents shared with them by joined Representatives, to the extent needed to deliver the Service and any subscribed Managed Review.

We will not sell or rent Your Content to third parties for their marketing or unrelated commercial use. Processors may handle Your Content only as needed to run the Service.

7. License to Use the Service; Our Intellectual Property

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended professional purpose.

Rep Re: Vault, including software, design, logos, trademarks, and documentation, is owned by us or our licensors. Except for the limited license above, no rights are granted. You may not copy, modify, distribute, sell, lease, reverse engineer (except to the extent such restriction is prohibited by law), or create derivative works from the Service or our content.

“Rep Re: Vault,” related logos, and brand elements are trademarks of Alyssa Boyd LLC. You may not use them without prior written permission, except for truthful factual references.

8. Your Content; License to Us

“Your Content” means profile information, documents, attestations, e-signatures, and other materials you submit to the Service.

You retain ownership of Your Content (subject to third-party rights in those materials).

You grant Rep Re: Vault a worldwide, non-exclusive, royalty-free license to host, store, process, display, transmit, and otherwise use Your Content solely to operate and improve the Service, including sharing Your Content with facilities you have joined and with subprocessors who help us provide the Service.

This license ends when you delete Your Content or your account, or when you unjoin a facility with respect to that facility’s ongoing access—except that we may retain copies as described in our Privacy Policy (backups, security logs, legal retention) and facilities may retain information they lawfully obtained while membership was active under their own policies.

You represent that you have the rights to grant this license.

9. Acceptable Use

You agree not to:

  • Scrape, crawl, or harvest data from the Service without our prior written consent
  • Attempt to gain unauthorized access to accounts, systems, or data
  • Upload malware, or interfere with the Service’s integrity or performance
  • Impersonate another person or misrepresent your affiliation
  • Use the Service to send spam or unsolicited commercial messages unrelated to legitimate credentialing
  • Use the Service for competitive intelligence in a way that abuses access (for example, registering solely to reverse-engineer workflows or extract facility/rep lists for competing products)
  • Circumvent technical or access controls
  • Upload illegal, infringing, defamatory, or harassing content
  • Use the Service in violation of export, sanctions, or other applicable laws

We may investigate violations and suspend or terminate accounts.

10. Prohibited Data

Do not submit to the Service:

  • Social Security numbers
  • Driver’s license or government ID numbers
  • Background-check dossiers or full investigative consumer reports
  • Patient PHI or patient medical records
  • Other highly sensitive data the product is not designed to handle

If a facility requires prohibited data, handle that requirement through the facility’s separate process—not by forcing it into Rep Re: Vault.

11. Advertising and Future Monetization

The core platform is FREE. We may fund operations through advertising, sponsorships, and optional paid features, including Managed Review.

  • If ads appear, they will be disclosed in context, and advertising-related data practices will be described in our Privacy Policy and Cookie Notice.
  • Marketing communications are separate from transactional/service notices; see the Privacy Policy.
  • We do not sell or rent your sensitive documents or customer personal information to third parties for their marketing or unrelated commercial use.

12. Third-Party Services

The Service relies on third-party infrastructure (for example, cloud hosting, authentication, databases, email delivery, and analytics). Those providers’ terms and privacy practices also apply to their processing. Links to external sites are for convenience; we do not control third-party services and are not responsible for their content or practices.

12A. Managed Review Subscription (Optional Paid Add-On)

Availability

Managed Review is an optional paid facility subscription. The core vault remains free. Subscription pricing, billing period, and checkout terms are shown in-product before payment.

Scope

Under Managed Review, Alyssa Boyd LLC d/b/a Rep Re: Vault staff may review joined Representatives’ shared credentials against the facility’s stated requirements and apply administrative review marks. This is assistance, not final approval authority.

No warranty on review outcomes

WE DO NOT WARRANT THAT MANAGED REVIEW WILL DETECT EVERY WRONG NAME, EXPIRED DOCUMENT, MISMATCH, ALTERATION, FORGERY, OR OTHER DEFECT. REVIEW MARKS ARE PROVIDED “AS IS” AS AN ADMINISTRATIVE AID.

Facility waiver / release

To the maximum extent permitted by law, each subscribing facility waives and releases Alyssa Boyd LLC d/b/a Rep Re: Vault and its members, officers, employees, and agents from claims, damages, and liabilities arising from the facility’s reliance on a Managed Review mark—including marks applied to documents later found to have a wrong name, be expired, mismatched, altered, fraudulent, incomplete, or otherwise insufficient—except to the extent caused by our willful misconduct where such carve-out is required or cannot be waived under applicable law.

Limitation of liability

WITHOUT LIMITING THE GENERAL LIABILITY CAP IN THESE TERMS, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO MANAGED REVIEW FOR A FACILITY WILL NOT EXCEED THE FEES THAT FACILITY PAID US FOR MANAGED REVIEW IN THE SUBSCRIPTION PERIOD GIVING RISE TO THE CLAIM. This cap does not limit liability that cannot be limited under applicable law.

Incident acknowledgment

If a reported discrepancy or review incident is identified, we may require the facility to complete a written Incident Acknowledgment before we continue Managed Review. “Reported discrepancy” and “review incident” describe the event and are not an admission of legal liability by either party. We may pause or terminate Managed Review pending discussion; the facility’s free DIY vault tools remain available subject to these Terms.

Completing the in-product Incident Acknowledgment form has the same effect as completing the written form.

Agreement acceptance

Facilities must accept the Managed Review Subscription Agreement before checkout. Continued subscription renewals remain subject to that Agreement as then in effect.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the above:

  • We do not warrant uninterrupted, secure, or error-free operation.
  • We do not warrant that any document is authentic, current, or sufficient for a facility’s policies.
  • We do not provide medical, legal, or compliance advice.
  • We do not grant facility access rights; facilities decide access.
  • Credentialing outcomes depend on users and facilities, not on Rep Re: Vault alone.
  • We do not warrant that any review status, approval mark, or similar indicator is correct, complete, or sufficient for the facility’s policies or for law.
  • We do not certify Representatives, and we do not warrant that viewing or attesting to a facility policy means the Representative is compliant.
  • We do not warrant detection of every forgery, alteration, name mismatch, expiration, or other defect—whether under free DIY tools or Managed Review.

Some jurisdictions do not allow certain disclaimers; in those places, disclaimers apply to the fullest extent permitted.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.
  • OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (IF ANY) OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Because the core Service is FREE, this cap is intended to be reasonable for a FREE product. Nothing in these Terms excludes liability that cannot be excluded under applicable law (for example, certain liability for fraud or willful misconduct, where such exclusion is prohibited).

15. Indemnity

You will defend, indemnify, and hold harmless Rep Re: Vault and our officers, directors, members, employees, and agents from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your Content or your uploads (including claims that documents are false, altered, or infringing)
  • Your misuse of the Service
  • Your violation of these Terms or applicable law
  • Your infringement of third-party rights
  • Disputes between you and a facility or employer regarding access decisions or credentialing requirements

16. Suspension and Termination

You may stop using the Service at any time and may request account deletion as described in the Privacy Policy.

We may suspend or terminate your access immediately if you violate these Terms, create risk or legal exposure for us or others, or if we discontinue the Service.

Effect of termination:

  • Your license to use the Service ends.
  • Joined facilities lose access to your membership view when membership ends or the account is deleted, subject to the Privacy Policy’s retention rules.
  • Sections that by their nature should survive (including IP, disclaimers, liability limits, indemnity, dispute resolution, and miscellaneous) will survive.

17. Informal Dispute Resolution; Governing Law; Venue

Informal resolution. Before filing a claim, you agree to contact us at support@reprevault.com and attempt to resolve the dispute informally for 30 days.

Governing law. These Terms and any dispute arising out of them or the Service are governed by the laws of the State of Indiana, USA, without regard to conflict-of-law principles.

Venue. Subject to applicable law, exclusive jurisdiction and venue lie in the state or federal courts located in Marion County, Indiana, and you consent to personal jurisdiction there.

No class waiver required. Nothing in these Terms requires you to waive class actions as a condition of using the FREE Service; however, individual claims remain available, and nothing here limits either party’s ability to seek injunctive or other equitable relief in court for IP or unauthorized access issues.

We do not require mandatory arbitration under these Terms.

18. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms with a new “Last updated” date. Material changes may be communicated by email or in-product notice. Continued use after the effective date constitutes acceptance, except where law requires additional consent.

If you do not agree to updated Terms, stop using the Service and request account closure.

19. Copyright Complaints (DMCA-Style Notice)

If you believe content on the Service infringes your copyright, send a notice to support@reprevault.com including: (a) your contact information; (b) a description of the work and the allegedly infringing material (with URL or location if possible); (c) a statement that you have a good-faith belief the use is unauthorized; (d) a statement under penalty of perjury that your notice is accurate and that you are the owner or authorized to act; and (e) your physical or electronic signature.

We may remove or disable content and, in appropriate circumstances, terminate repeat infringers.

20. Miscellaneous

  • Entire agreement. These Terms, the Privacy Policy, any facility-specific BAA, and any accepted Managed Review Subscription Agreement form the entire agreement for their applicable subject matter. The Managed Review Subscription Agreement controls for Managed Review liability, waiver, incident process, fees, and termination of that add-on.
  • Severability. If a provision is unenforceable, the remainder stays in effect.
  • No waiver. Failure to enforce a provision is not a waiver.
  • Assignment. You may not assign these Terms without our consent. We may assign them in connection with a reorganization or sale of assets.
  • Force majeure. We are not liable for delays or failures due to events beyond our reasonable control.
  • Export. You will comply with applicable export and sanctions laws.
  • Headings. Headings are for convenience only.
  • Relationship. These Terms do not create a partnership, joint venture, or employment relationship.
